Terms of Service

1. Acceptance

By accessing or using the Carrier platform, APIs, MCP server, or any related services (collectively, the “Services”), you agree to these Terms of Service (“Terms”). The Services are provided by Lifecycle Innovations Limited (“Carrier”, “we”, “us”), a company registered in England & Wales.

If you are accepting on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. License grant

Subject to your compliance with these Terms, Carrier grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes. This licence does not include any right to resell, sublicense, or white-label the Services without a separate written agreement.

3. Restrictions

You must not:

  • Resell, sublicense, or provide third-party access to the Services without Carrier's prior written consent.
  • Use the Services to transmit unlawful content or engage in fraudulent activity.
  • Circumvent rate limits, usage quotas, or authentication mechanisms.
  • Reverse engineer, decompile, or attempt to extract source code from any Carrier infrastructure.
  • Use the Services in a way that violates GSMA, ITU, or applicable telecommunications regulations.
  • Abuse, harass, or send spam through any Carrier-provided communication channel.

4. Service modifications

Carrier may modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable advance notice for material changes that affect paid tiers. Carrier is not liable for any modification, suspension, or discontinuation of the Services.

5. Billing and payment

Billing terms apply to paid plan tiers (Pro and Enterprise). Paid billing is not active for v1 of the Services. When billing is introduced (target: Q3 2026), the following terms will apply:

  • Fees are charged in advance on a monthly or annual basis, depending on the selected plan.
  • Carrier uses Stripe as its payment processor. Payment methods are subject to Stripe's terms.
  • Overdue invoices may result in suspension of Services after 14 days notice.
  • All fees are exclusive of applicable taxes. You are responsible for any VAT, GST, or other taxes in your jurisdiction.

Full billing terms will be published when paid tiers activate.

6. Termination

Either party may terminate these Terms at any time. You may stop using the Services and close your account at any time. Carrier may terminate or suspend your account immediately if you breach these Terms or if your use poses a risk to the Services or other users.

Upon termination, all licences granted herein cease. Sections 7 (Warranties), 8 (Liability), 9 (Governing law), and 10 (Arbitration) survive termination.

7. Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. CARRIER EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Carrier does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARRIER'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID TO CARRIER IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US $100.

IN NO EVENT SHALL CARRIER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF CARRIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Governing law

These Terms are governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes not resolved by arbitration under Section 10.

10. Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation for 30 days. If unresolved, the dispute shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration (LCIA), with a single arbitrator, in London, England, in English.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

11. Miscellaneous

  • Entire agreement. These Terms constitute the entire agreement between you and Carrier regarding the Services, superseding any prior agreements.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver.Carrier's failure to enforce any right does not constitute a waiver of that right.
  • Assignment.You may not assign these Terms without Carrier's prior written consent. Carrier may assign these Terms in connection with a merger, acquisition, or sale of assets.
